Terms and Conditions

1. General Information

1.1 These are the Terms and Condition of Business for services provided between Grade A Inventories as an independent inventory company and property service provider for an Instructing Principal and/or Client. The commissioning of Services by an Instructing Principal on behalf of their Client or the Clients legal representative shall be deemed an agreement to these terms and conditions.

 

1.2 If a court decides that any part of the agreement of these Terms and Conditions cannot be enforced, then that part will not apply. The rest of this agreement will continue to apply. Any notice given under this agreement must be made in writing and sent via email to Grade A Inventories. This agreement shall be governed by English Law and the English courts.

2. Provision of Services

2.1 If the Client appoints an Instructing Principal as their representative for services carried out by Grade A Inventories, it is the responsibility of the Instructing Principal and not that of Grade A Inventories to make sure the Client is aware of our Terms & Conditions.

2.2 Grade A Inventories do not accept or recognise a plea of ignorance by either the Instructing Principal or that of the Client.

2.3 Please note Services cannot be exchanged and pricing options are only applicable in whole.

 

2.4 Grade A Inventories will use reasonable skill and care in shooting and preparing photographs, videos and virtual tours. It is the responsibility of the Instructing Principal or Client to check photographs and videos supplied to ensure that they meet requirements. If the Client is not completely satisfied with the products that Grade A Inventories have supplied, then the Instructing Principal or Client must contact Grade A Inventories immediately to explain why. If Grade A Inventories agree, then the Company must be granted the opportunity to correct the issue. All correspondence must be in writing via email to Grade A Inventories. 

 

2.5 Upon the booking of the appointment, Grade A Inventories will assume that the Instructing Principal and/ or Client has the authority to commission any of our services including the photography, production of a property video/ virtual tour, floor plan and printed particulars of the premises in question, including allowing Grade A Inventories employees access to the premises.

 

2.6 Grade A Inventories may wish you use photography taken at the property at the time of the inventory or check-out inspection for marketing purposes on social media sites such as Instagram, Facebook and LinkedIn. If you do not wish for a photograph of your property to be used in this way, please inform us at any time. Any photos already posted onto social media sites after your request to decline will be removed immediately. 

3. Fees

3.1 An Instructing Principal shall pay all fees due as the result of Services provided within the due date stated on the presented invoice.

3.2 If the Client (Landlord) is not represented by an Instructing Principal, the Client will pay all fees which will be due within 48 hours of the date and time of the Services. Failure to do so will result in the report, marketing photos, virtual tours or floorplan not being handed over and kept by Grade A Inventories until payment received. For agencies, payment will be expected within 14 days of service completion. Grade A Inventories reserves the right to make a charge for any additional expenses incurred by Grade A Inventories, as a result of Client error (including incorrect keys supplied).

3.3 It is the responsibility of the Instructing Principal commissioning Services to pay all fees for Services rendered to or on behalf of the Client in accordance with the scale of fees, regardless of receipt of client funds.

3.4 Grade A Inventories reserves the right to apply interest charge for late payments for any fees more than 14 working days overdue from the date of invoice at the rate of 3% net added monthly. Interest will be applied both prior to and subsequent to any Court Judgement.

3.5 If in the event that a Grade A Inventories representative attends an appointment as commissioned by the Instructing Principal or Client and cannot be delivered, whether or not due to circumstances beyond the Instructing Principal or Client control, Grade A Inventories reserves the right to charge an abortive fee of 50% of the full invoice amount. If an Instructing Principal or the Client wishes to attend an appointment and fails to turn up at a pre-agreed time to attend any of our service appointments, a period of 15 minutes clemency will be permitted, after which the service will be completed and forwarded to the Instructing Principal or the Client to sign, assuming that the Instructing Principal or the Client do not turn up before the completion of the service. If 24 hours notice prior to the appointment time has been given from the Instructing Principal or Client to Grade A Inventories to cancel an appointment no fee is payable. If less than 24 hours notice is given by the Instructing Principal or Client, 30% of the invoice fee is payable. Notice of cancellation must be done via telephone using this phone number , leaving a voice message if no answer and followed up by email from the Instructing Principal or Client to Grade A Inventories using this email address.

3.6 Grade A Inventories reserves the right to abort an Assignment, made by appointment, where the conditions at the property make it impossible to identify the items on the inventory or carry out a service correctly or adequately. This may include (but is not an exhaustive list):

- Tenants are still in bed – and are unwilling to get out of bed
- Tenants are in a state of undress
- Work surfaces and floors are not accessible for inspection.
- The landlord’s or outgoing tenant’s personal possessions are present and the property is not ready to let
- Cleaners, decorators, and other tradesmen are still working on the property

Any of the above circumstances will be reported urgently to the the Instructing Principal or Client.

3.7 Any discrepancies from the Instructing Principal or the Client, resulting in the service needing to be carried out again, will be treated as a completely separate service from the prior and a new appointment will need to be made at full cost.

3.8 Properties that are furnished over and above the industry standard, of which ‘industry standard’ is the opinion of Grade A Inventories, will be charged an additional 30% on the current scale of fees.

3.9 Grade A Inventories reserves the right to alter the price for a service if the property details have been given incorrectly or there are other area’s to be included. Our fees are based on the below definitions:

 

- One bedroom- one bedroom, bathroom, living area and kitchen

- Two bedroom- two bedrooms, bathroom, living area, dining area and kitchen

- Three bedroom- three bedrooms, bathroom, separate W/C or ensuite, living area, dining area and kitchen

- Four bedroom- four bedrooms, bathroom, separate W/C or en-suite, living area, dining area and kitchen

For inventory, check-in/ out reports, any properties over four bedrooms will be charged at the cost of four bedrooms with each additional room included at £10 per room and £15 per bathroom. Any additional rooms above the standard definition for all property sizes as set out in clause 3.9, will be charged £10 per additional room and £15 per additional bathroom. There is no price reduction if property has less rooms than the definitions detailed above.  For marketing photos, this is at an additional £5 per additional room. Floorplan prices are based on a maximum total property size of 1100sq foot. A charge of 0.5p will be charged for each square foot over this.

3.10 If the let property includes an integral conservatory, garage(s), converted loft space(s) and outbuildings or an exceptional number of additional rooms then Grade A Inventories need to be notified at the time of booking via email. These additional rooms/areas are charged separately at £10 per additional room/area for inventories and £5 per additional room/ area for marketing services. Gardens are included in the price. 


3.11. Duties carried out by outside the definition of the assignment may be chargeable by separate negotiation. Assignments to be carried out outside of normal office hours, and confirmed by the Company, may attract a premium fee by separate negotiation. The Company’s normal office hours are: Monday - Saturday 09.00 to 17.00.


3.12 Any reports generated from Services delivered via any medium remain the sole property of Grade A Inventories until all fees are paid in full.

 

3.13 A set of working keys for any garages, annexes, outhouses. and sheds must be supplied for access on the day. Grade A Inventories are not obliged to return to the property at a later date to check these areas if inaccessible on the day of the inventory or check-in appointment. If in the case that a Grade A Inventories representative does return, a fee of an additional £25 will be charged. 

 

3.14 It is important to note that any contents must be situated in their respective rooms as specified in the Report upon termination of the tenancy. Failure to do so can result in delay, this delay may encompass a search and match fee. The search and match fee of £10 will be additional to current scale of fees.

 

3.15 The Instructing Principal or Client and not Grade A Inventories is responsible for preparing the property for any of our services to be carried out at the agreed appointment time. The Grade A Inventories Representative will take any necessary photographs of the property as it is presented, whether this be for inventory, check in/out or marketing purposes. If our Representative is delayed by the Client or anyone else preparing the property during the appointment, Grade A Inventories has the right to charge an additional fee for the extra time. This additional time will be charged at £5 for every 5 minutes of additional time, rounded up. Any additional visits that are required to the property will be charged at the full rate of the service.

 

3.16 If the property is excessively furnished, Grade A Inventories will describe any smaller items in brief terms. Any excessively furnished properties will incur an additional £50 charge.

 

3.17 If Grade A Inventories have been commissioned to carry out the check-in, part of this appointment will entail checking the smoke alarms for power. If the smoke or carbon monoxide alarms appear not to have any power, we will not hand the keys over to the tenants and will inform the Instructing Principal immediately. If Grade A Inventories need to return to the property again to complete the check-in, a fee of £25 will be charged to the Instructing Principal.

 

3.18 If Grade A Inventories have been instructed to carry out a report where there is a cost for parking, this cost will be added onto the invoice and for the Instructing Principal to pay. If any clerk representing Grade A Inventories receives a parking fine for parking in an undesignated area whereby they have previously been instructed to park by the Instructing Principal, the cost of this fine will be added onto the invoice and for the Instructing Principal to pay.

 

3.19 If the distance between Knebworth and the property in which the Clerk is to carry out the Inventory, Mid-Term or Check-Out report is between 20-25 miles, there is an additional charge of £20. There is an additional charge of £5 for every 5 miles over this.

 

3.20 There is a discounted charge for an inventory whereby the property has been let less than 6 months prior and a Grade A Inventories clerk has completed the original inventory. The full price of the inventory will however be charged if the tenancy is 6 months or longer or if another inventory clerk has completed the original inventory for a tenancy less than 6 months.

4. Disputes and Complaints

4.1 Grade A Inventories reserves the right not to attend court for any dispute arising out of a dilapidation assessment between clients if a Grade A Inventories representative did not attend the original check-in appointment or sign on behalf of the client.

4.2 Grade A Inventories will, providing the original report for services was provided and signed by a Grade A Inventories representative on behalf of the client; go to court to argue any dilapidation assessment on termination of the tenancy.

4.3 In the event of a dispute between Clients and all fees have not been paid in full any reports delivered from Services remain the sole property of Grade A Inventories and therefore cannot legally be used without written permission in any Court of Law.

4.4 Any circumstances allegedly giving cause for complaint about Services provided or an invoice, must be notified by the Client or Instructing Principal on behalf of the Client within 3 (three) working days of the Services being completed or receipt of invoice and confirmed in writing no later than 7 (seven) working days as the cause of the alleged complaint arises. The complaint will be investigated and action taken as necessary.

6. Services

6.1 The Report prepared by Grade A Inventories is intended as an independent and informative guide to the Client about the condition of any fixtures, fittings, contents, furniture and décor. The Report enables items to be visually identified, where possible items will be identified by their original manufacturer, however no attempt will be made to ascertain what period an item was produced.

 

6.2 Grade A Inventories representative preparing a report is not an expert on fabrics, materials, antiques etc. or a qualified surveyor. No attempt will be made to place monetary value on the property or its contents, or to determine whether an item is genuine or reproduction. Any report provided by Grade A Inventories should under no circumstances be used as a structural survey report

6.2 Grade A Inventories clerk will not undertake to move heavy and/or awkward items of furniture, or unpack stored items therefore some observations may be restricted in were such items restrict full inspection.

6.3. Inaccessible areas and loft spaces will not be searched or listed on the Report. Items left in inaccessible places, lofts, cellars or in any areas behind locked doors will not be listed and/or inspected and are the sole responsibility of the client

6.4 Grade A Inventories clerks reserve the right not to handle or move any items deemed fragile or valuable. In addition, the inventory clerk reserves the right to generalize on the presence of items deemed unsuitable for further inspection or of negligible self-evident monetary value. In respect of such items unexamined or which cannot be examined for the reasons stated, no warranty is expressed or implied that the item is free from defect or damage at the beginning or end of the tenancy.

6.5 Grade A Inventories clerk's inspection may be hindered in instances of poor access, lighting or where cleaning and building maintenance levels are below standard.

6.6 Grade A Inventories does not accept any responsibility for any error or omission of data within a Report.

6.7 All measurements given are approximate.

 

6.8 Gardens will be described on the Reports will be in basic terms. It must be considered that weather or presence of wildlife for example can alter the appearance of the garden and Grade A Inventories cannot be held accountable for any such changes from when the inventory inspection and check in took place.

6.9 Any plants, cleaning materials, food, fish in ponds are considered perishable items and will not be listed on the Report. Grade A Inventories will not undertake to list any large number of books, CD’s and/or DVD’s individually.

6.10 All colours within the Report are to mean description of colour only and not that of any metals.

6.11 Grade A Inventories has the right to amend any part of the Service or pricing at their discretion in line with future market changes or updated legislation or deemed to be relevant by Grade A Inventories. In the event of any price changes, existing customers will be notified either in writing, of said changes before any additional services are booked.

6.12 The Report relates only to furniture, furnishings and all of the landlords’ equipment and contents in the property. It is no guarantee of, or report on, the adequacy of, or safety of any such equipment or contents, merely a documented record that such items exist within the property, at the date of the inventory and the superficial condition of the same.

6.13 All electrical items are considered complete with plugs, bulbs, flexes etc, unless otherwise specified. The working condition of the boiler or any other heating system are not tested during the inventory inspection or check in/ out and are the responsibility of the Client or Instructing Principal to ensure these are in working order.

6.14 Electric and gas meter readings will be read and noted at the inventory inspection, check-in and check-out appointment. It is the Clients’ responsibility to state the locations of any such meters which is required prior to the start of the appointment. If unaware of, unable to locate or has unreasonable access to meters, the meters will remain unread. Grade A Inventories will not revisit a property at a later stage on behalf of the Client or Instructing Principal to read a meter. Water meters are not taken unless they are easily accessible.

6.15 The Instructing Principal and/or Client is responsible for the security, heating, plumbing and meter usage of the property both pre and post Service.

 

6.16 Smoke and carbon monoxide alarms will be tested during the inventory inspection and check in/ out. Grade A Inventories test these by pressing the button on the alarm and hearing the beep or similar noise sound to confirm function. Grade A Inventories cannot be held liable upon any failure of these devices and cannot be held liable if they fail to work on a separate day. If Grade A Inventories have been instructed by the Client or Instructing Principal to carry out a check in, we will not hand over the keys if we find the smoke alarm or CO alarm are not working as this is a legal requirement. It is the responsibility of the Client or Instructing Principal to ensure the smoke alarm and CO alarm are in working order prior to the inventory check and check in.

 

6.17 The FFR label on relevant furnishings will be noted if easily accessible at the time of the inventory inspection and check out. If we are unable to locate a safety label, we will inform the landlord or agent on the day. We cannot be held liable if the safety labels are removed after the inventory report has been carried out.

6.18 Where a check-in is being carried out and Grade A Inventories completed the inventory prior to this day, we will aim to obtain signature from the tenants on the day providing they have been sent the report within reasonable time prior to their attendance. Tenant signature on the day is also subject to there being no changes made to the property since the inventory report was carried out. If changes have been made to the property since the inventory inspection has been completed, the Report will be invalidated. If the inventory is carried out on the same day, we are unable to obtain a tenant signature at the property however the tenants will have 7 days after check-in to add any amendments and sign the inventory. If the tenants wish for more time to review the completed inventory report on the check in day and do not wish to sign at the time of the appointment, they will also have 7 days to add any amendments and return the signed report to the Landlord or Letting Agent within 7 days.

6.19 All dogs and other animals must be kept away from the the Grade A Inventories Representative and any equipment. Any damage caused due to the failure to keep animals away from the Representative or equipment will be charged to the Client. If the Representative sustains any injury at a property then legal action can be taken. The Representative can cancel a photo shoot on arrival at the property or at any time during the photo shoot if animals are not kept away from the Representative and they have any concerns for their safety. The Client will be liable for the full cost of the photography package as booked.

6.20 The hosting of 360 Virtual Tours is provided by a third party. Liability for the host remains with the third party and Grade A Inventories accepts no liability for the hosting. The length of hosting is as defined in the product description of the package purchased. Hosting can be extended for an additional cost. It is the client’s responsibility to request the extension of hosting prior to the end of the agreed period.

6.21 Grade A Inventories do not carry out Right to Rent checks and do not hold any liability for any consequences of these not being carried out correctly before a Tenant moves into the property. It is the responsibility of the Client or Instructing Principal to ensure these have been carried out prior to the check in.

6.20 In the event that Grade A Inventories have been instructed to complete a checkout inspection whereby a separate party carried out the inventory inspection at the start of the tenancy, we will complete this to the best of our ability however cannot be held liable for anything that has not been clearly stated in the inventory report prior which may or may not effect the outcome of the checkout report.

7. Execution of Floorplans

​

7.1 Grade A Inventories will use reasonable skill and care in measuring, sketching and drafting of floor plans. All floor plans supplied by Grade A Inventories are intended for illustrative and marketing purposes only, they are not intended to be scale drawings and measurements and areas quoted are approximate, whether or not a suitable disclaimer appears on the drawing.

 

7.2 If the Instructing Principal or Client are not completely satisfied with the floor plan or if an error is suspected, then Grade A Inventories must be informed immediately so that it can be investigated and make corrections if necessary. '

 

7.3 It is the responsibility of the Instructing Principal or Client to ensure that a floor plan is an accurate representation of the property. Grade A Inventories accepts no liability for any error or omission or inadvertent miss-statement in a floor plan. If the Client requests changes to be made to the presentation of a Grade A Inventory floor plan, the Client is responsible for checking those changes have been made correctly and also that they do not result in the property being misrepresented. If the Client make changes of any kind that affect the quoted floor area, Grade A Inventories accepts no responsibility for the new quoted area.

 

7.4 Floor plans will be measured to the RICS code of measuring practice.

7.5 If the Client provides Grade A Inventories with their own sketch or floor plan document and commission Grade A Inventories  to re-draw the floor plan in the required style, it is the responsibility of the Client to ensure that a floor plan is an accurate representation of the property. Grade A Inventories accepts no liability for any error, omission or inadvertent miss-statement in a floor plan. These will not be RICS compliant floor plans.

7.6 Floorplans exclude any alcoves except fireplaces unless stated.

7.7 Measurements are taken from the widest part of the room and may not reflect actual living space. Grade A Inventories would recommend any potential buyer or tenant to take their own measurements before making any commitment to buy or rent the property represented in the floorplan.

8. Execution of Mid-Term Inspection

​

8.1 The inspection is not in any way a checkout report.

​

8.2 The inspection may detail some maintenance issues if reported by the Tenant at the time of inspection or easily visible during the visit however should not be used as way to document in-depth condition of the property. The main purpose of the mid-term inspection is to ensure the Tenant is living in the property as per the terms of the Tenancy Agreement and provide an overview of the condition of the property.

8.3 Be advised that this inspection is confined to visual and accessible areas only. Inspectors shall not inspect any area of the property considered dangerous or hazardous to their safety and health. The purpose of the inspection is to give the client an overview of the general condition of various systems in the property, both structurally and component-wise.

8.4 This inspection report is to inform you of current condition as observed at time of inspection. As a general rule cosmetic deficiencies are considered normal wear and tear and are not within the scope of this inspection unless they constitute major and visually observable defects as defined in the Inspection Agreement. However some items, which may be considered cosmetic in nature, may have been noted to assist you in evaluating other issues.

8.5 Be advised that warranties and guarantees are not given on any inspected components. The inspector’s report is limited to the day and time of inspection and cannot be liable for future unforeseen malfunctions of any components.

8.6 Grade A Inventories accepts no responsibility or liability for any omission in its inspection or the report related to defects or irregularities which are not reasonably visible at the time of the inspection, which are below ground or which are concealed or closed in behind finished surfaces (such as plumbing, drainage, heating, framing, ventilation, insulation or wiring); which required the moving of anything which impeded access or limited visibility (such as floor coverings, furniture, appliances, personal property, vehicles, vegetation, debris or soil).  Grade A Inventories does not inspect septic tanks, drain fields or perform termite inspections.

8.7 Grade A Inventories does not move owner/occupied items for the purposes of the inspection;

​

We do not inspect items that are not reasonably and safely available to carry out a visual inspection.  This may include roofs, subfloor areas and ceiling cavities and high, constricted or dangerous areas for which inspection is not permitted by Occupational Safety and Health regulations.

​

8.8 The client has employed Grade A Inventories to perform a visual inspection of all accessible areas and components at the time of inspection. The client does not hold the inspection company and/or inspector liable for future malfunctions or replacements needed of structural systems or components of the property inspected.

9. Delivery of Reports

9.1 All reports will be delivered via e-mail to the instructing party. Grade A Inventories currently do not have the appropriate facilities to print out any reports or send hard copies to clients. 

9.2 An inventory and check out presents a precise record of the contents and condition of the property in question on the date the report was compiled. It is the responsibility of the tenant, landlord and respective agent to agree on the accuracy of this report and it is advised that both parties sign it as confirmation.

9.3 It is strongly advised that the parties examine the contents of the report produced prior to signing. Grade A Inventories cannot be held responsible for any errors or omissions within the report. Any discrepancies regarding the accuracy of the report should be brought to our attention within seven days; otherwise the report will be deemed as accurate and acceptable.

10. Keys

10.1 Grade A Inventories cannot accept responsibility for any lost or unaccounted keys.

10.2 Keys can be collected from a home address or agency providing these are located within a reasonable distance from the property.

11. Dilapidations

11.1  On termination of the tenancy the check-in and/or inventory make report is checked again and any discrepancies and/or variations will be reported to the instructing principle and/or the client. The check-out report will indicate, in the opinion of the Grade A Inventories representative, as to whether there is any liability on the tenant, or whether such deterioration could be assessed as fair wear and tear. Fair wear and tear is determined on the length of the tenancy, the type of occupancy, the quality and durability of items, noting that certain items receive more use. Grade A Inventories acknowledge that the contractual terms listed in the tenancy agreement may overrule the opinion of the assessor.

 

11.2 Grade A Inventories does not accept the responsibility of any dilapidations and/or remuneration for any such dilapidations noted or not noted on the report.

12. Regulations

12.1. All regulations published by the Department of Trade and Industry / Trading Standards and/or similar bodies are the ultimate responsibility of the Instructing Principal or the Landlord.

12.2. Where a Grade A Inventories report notes that a/any certificate has been seen i.e. The Electrical Equipment Safety Regulations 1994, The Plugs and Sockets etc Safety Regulations 1994, The Gas Safety Regulations 1994 etc, this should not be interpreted to mean any records can be authenticated by Grade A Inventories. It is not a statement that an item can be considered to comply with the required regulations, merely a documented note that a certificate existed on the date the report was carried out..

12.3 Where the Report notes ‘FFR label seen’, this should not be interpreted to mean that the item complies with the Furniture & Furnishings (Fire, Safety and Amendments) 1993. It is a record that the item had a label as described or similar to that detailed in Guides published by said bodies at the time of the inventory inspection. It is not a statement that the item can be considered to comply with the regulations. 

13. Commission

13.1 It is possible that in the normal course of business, like others, Grade A Inventories will be offered commissions by third parties to whom we might introduce business, for example insurance brokers or tradesman. We wish to make it clear that we do not solicit such commissions and we select such third parties on what we know of their competence and/or availability and not because of their willingness to offer inducements. If, however, they do offer Grade A Inventories a commission or other form of remuneration and we are satisfied that the service they offer is as good or equals value for money with whom they compete, and that our Clients interests are therefore not adversely affected, then we may accept such commissions for our own benefit and not account for them to our Clients or Instructing Principal.

13.2. Exclusions of Liability and Indemnity

13.3 In the event that the client and/or instructing principle give the Grade A Inventories instructions which are followed in good faith and which turn out to be unlawful or result in an unlawful act or otherwise give rise to any other claim, you will provide the Grade A Inventories with full indemnity for all penalties, damages, costs and legal expenses whatsoever which may occur as the result of following the instructions.

14. Law and Jurisdiction

14.1. This Contract shall be governed by English Law in every particular including formation and interpretation and shall be deemed to have been made in England.

14.2. Any proceedings arising out of or in connection with this Contract may be bought in any Court of competent jurisdiction in England whose Courts shall have exclusive jurisdiction.  

15. Contract

15.1 No variation to these terms will be effective unless agreed in writing by an authorised signature of Grade A Inventories

16. Modifications of Prices

16.1 Grade A Inventories reserves the right to change prices to anything retailed on this site at any time, and such modifications shall be effective immediately upon posting of such changes. You are therefore responsible for regularly reviewing the pricing posted on this website. Your continued access of this website shall be deemed your conclusive acceptance of the modified agreement

17. Modifications of these Conditions of Use

17.1 Grade A Inventories reserves the right to change the terms, conditions, and notices at any time, and such modifications shall be effective immediately upon posting of such changes. You are therefore responsible for regularly reviewing these Terms and Conditions and additional terms or notices posted on this website. Your continued access of this website shall be deemed your conclusive acceptance of the modified agreement.

18 Disclaimer of Warranty / Limitation of Liability

 

18.1 Grade A Inventories website and related information is provided by Grade A Inventories on an ‘as is’ and ‘as available’ basis. Grade A Inventories makes no express or implied warranties, representations or endorsements of any kind, or as to the operation of the website or the information, content, materials, or products included on the website. You expressly agree that your use of the website is at your sole risk.

18.2 To the full extent permissible by applicable law, Grade A Inventories disclaims all warranties, express or implied, including without limitation, implied warranties of merchantability and fitness for a particular purpose. Grade A Inventories does not warrant that the website, its servers, or e-mail sent from Grade A Inventories are free of viruses or other harmful components. Grade A Inventories will not be liable for any damages of any kind arising from the use of the site, including, but not limited to direct, indirect, incidental, punitive and consequential damages. Grade A Inventories uses reasonable efforts to include accurate and up-to-date information on the website. Grade A Inventories assumes no liability or responsibility for any typographical or other errors or omissions in the content of the site. In the event that a product is listed at an incorrect price or with other incorrect information, Grade A Inventories shall have the right to refuse or cancel any orders placed for the product listed incorrectly. If a product offered by Grade A Inventories is not as described, your sole remedy is to return it to Grade A Inventories for a refund. All postage required to return a product will be at the buyer’s expense.

18.3 Grade A Inventories warrants that it will use reasonable skill and care to provide the work agreed. Grade A Inventories warrants that it will not materially adjust or manipulate any images filmed. All other warranties express or implied are hereby excluded to the fullest extent permitted by law.

 

18.4 Any liability Grade A Inventories may have (whether in contract, tort, including negligence or otherwise) shall be limited to the total fees paid by you under this agreement. Grade A Inventories shall not be liable to you or to any third party for any loss of profits, loss of sales, loss of turnover or loss of use or corruption of data or software or for any indirect, consequential or special loss. This does not exclude Grade A Inventories’ liability in respect of fraud or in respect of death or personal injury caused by Grade A Inventories’ negligence.

 

18.5 Grade A Inventories does not guarantee that any of its property videos shall be playable on any particular computer system or electronic device.

 

18.6 Grade A Inventories shall not be responsible for any delay or failure to carry out Grade A Inventories’ commissions under this agreement for reasons beyond Grade A Inventories’ reasonable control including but not limited to the acts or omissions of a third party or your failure to perform your obligations. In the event of a dispute about the quality of pictures or videos taken, Grade A Inventories may in its sole discretion, elect to re-shoot the images or videos or offer a full refund of any monies paid. This section shall survive the termination of this agreement for any reason.
